- Amended June 16/2001 Name The name of the Club shall be The Border Terrier Club of Ontario (herein after referred to as The Club). Affiliation The Club will be governed by the rules and regulations of the Canadian Kennel Club. Objectives The purpose of the Club is to: 1. Promote and advance the quality of breeding pure bred Border Terriers. 2. Urge members and breeders to accept the standard of the breed as approved by the Canadian Kennel Club as the only standard of excellence by which Border Terriers shall be judged. 3. Encourage sportsman-like conduct and competition at dog shows, obedience trials, working trials. 4. Educate the public through participation in sanction matches, booster shows, specialty shows, obedience trials and working trials. 5. Encourage and advise owners, breeders and interested persons. Non Profit The Club shall be operated as a non-profit organization. Any moneys generated through dues, donations or other means shall be used to further The Club's objectives. Area of Operation The area of operation of The Club shall be the province of Ontario. Revisions to the Constitution A proposed amendment to the Constitution or By-laws may be proposed at any time by any Club member. A seconder to the amendment will be required. The proposed amendment will be published in the minutes and voted on at the next Annual General Meeting. A two thirds majority of members present will be required to pass the amendment. BY-LAWS ARTICLE 1 - MEMBERSHIP Section 1 - Classification a) Regular member is any person eighteen (18) years of age or older, who is in good standing with the Canadian Kennel Club or follows the rules and regulations of such governing club and who subscribes to the purpose of this Club. b) Junior member is any member up to seventeen (17) years of age who has an immediate family member as a Regular member. Junior members will not be entitled to a vote on club matters or elections nor will he/she be eligible to hold office. A junior member shall become a regular member with all the rights and privileges attached thereto upon reaching eighteen (18) years of age. Section 2 - Application Application to The Club may be submitted only on the form provided by The Club or a copy thereof. Accompanying the application must be the dues payable for the current year. With the application form he/she agrees to abide by The Club's Constitution, By-laws and Code of Ethics and the rules of the Canadian Kennel Club. Section 3 - Selection The application will be published for comments. The application will then be considered by the Board of Directors with comments brought forward and a vote to follow. The decision will be two-thirds (2/3) of the Board of Directors and all decisions are final. No reasons need be given to the applicant(s) for rejection. Section 4 - Notification A letter will be sent to the applicant from the Corresponding Secretary indicating acceptance or rejection of his/her application. In the case of rejection, all moneys submitted with application will be returned in full. Section 5 - Members in Good Standing Members in good standing are those that: a) have paid all current dues b) are not suspended by the Canadian Kennel Club Section 6 - Termination of Membership Membership may be terminated: a) by resignation - any member in good standing may resign from The Club upon written notice to the Secretary and on settling all financial obligations to The Club. b) by lapsing - a membership will be considered as lapsed and automatically terminated if members' dues remain unpaid on the first day of October. c) by expulsion - a membership may be terminated by expulsion as provided in Article 7 of these By-laws. ARTICLE 2 - ORGANIZATION Section 1 - Officers The Officers shall be comprised of: President Vice-President Secretary/Treasurer All positions shall be for a five (5) year period. Section 2 - Board of Directors The Board of Directors shall consist of the above officers together with a minimum of 6 Directors. 3 of the 6 positions will include the Committee Chairs listed below. The Board shall have the general management of The Club's affairs. Section 3 - Committees The following three (3) positions will become automatic members of the Board. a) The Show Chairman will be directly in charge of and responsible for all phases of the Club's sanctioned matches and dog shows. The Show Chairman may appoint a committee person for publicity, properties, trophy and hospitality. b) A Newsletter Editor shall be responsible for collecting information and advertising, publishing and distributing to all club members. The newsletter will endeavour to cover activities within the club, member's news, interesting articles pertaining to Border Terriers and any other items he/she deems worthy. c) Education Chairperson is responsible to inform the public and interested persons on information on the breed and reputable breeders. Section 4 - Vacancies Any vacancy occurring on the Board shall be filled for the unexpired term by a majority vote of the remaining Board members; except for a vacancy of President shall be automatically filled by the Vice-President and the resulting vacancy in the office of the Vice-President shall be filled by a majority vote of the Board. Section 5 - Duties President - The President shall preside at all meetings of The Club. He/she has the power to call special meetings of the Board and shall be a member of all committees. No member may call a meeting of The Club without consent of the President or his/her designate. He/she shall ensure that all meetings run smoothly and are conducted in a mannerly fashion. Vice-President - The Vice-President shall have the duties and exercise the powers of the President in the event of the President's absence, incapacity or death. He/she shall perform such duties as may be assigned to him by the President or the Board. Secretary - The Secretary shall give written notice of all meetings of The Club. He/she shall keep a written record of all meetings of The Club and the Board of Directors. He/she shall read the minutes of the previous meeting and shall keep a record of attendance at every meeting. He/she shall be in charge of all correspondence of The Club, keep a complete membership list and any other duties assigned by the Board. Treasurer - The Treasurer shall collect and receive all moneys due to The Club and shall deposit the same in the bank account designed by the Board in the name of The Club. he/she shall pay out of the funds on hand all debts of The Club by means of a cheque countersigned by another office. He/she shall keep a monthly tally sheet and report to The Club at all meetings all receipts and expenditures for that month. These shall be in legal binding and shall be open at all times to the inspection of the Board. He/she shall prepare a year-end financial statement for the annual meeting and shall surrender the books for audit every year. Section 5 - Violations of Duty The Board shall have full power to remove any Board appointment for violation of duty by a majority vote of the Board upon written notice to the appointee. The Board may then appoint successors to fill such vacancies. The General Membership consisting of a 2/3 majority of signatures, may, upon written notice to the Board, request a Special Meeting to hold an election, if the membership feels the Board is in violation of its duties”. ARTICLE 3 - MEETINGS Section 1 A - General Meeting The General Meeting of The Club shall be held in the summer at a place, date and hour designated by the Board of Directors. Written notice of the annual meeting shall be mailed by the Secretary to each member at least thirty (30) days prior to the date of the meeting. B - Special Meetings Special meetings of The Club may be called: a) by the President b) by a majority of the Board of Directors C - Quorum A quorum shall be 5 members or 50%, whichever is less. Section 2 - Board Meetings Meetings of the Board shall be held at such dates, times and places as are designated by the Board or may be called by the President or any three members thereof. Notice of each meeting shall be given by the Secretary to each member of the Board at least fourteen (14) days prior to the date of the meeting. Directors absent may vote by written proxy. Each Director may hold 1 written proxy vote. Quorum for a Board meeting shall be a majority of the Board. Section 3 - Elections Elections will take place every five (5) years. ARTICLE 4 - FINANCE Section 1 - Financial Year The financial year of The Club shall commence on the 1st day of July and conclude on the 30th day of June of each year. Section 2 - Dues Dues for the fiscal year shall be set by the Board of Directors. Dues shall be payable on or before the first day of July. No member whose dues are not paid for the current year may vote in any Club matter. If a new member applies after the first day of March the membership dues will apply for the following year. Section 3 - Banking A bank account will be established in the name of The Club at a Canadian Chartered Bank. Section 4 - Cheques All cheques issued by The Club shall require the signature of two Club Officers (President, Vice-President, Secretary and Treasurer). Section 5 - Audit Each year, the Board will recommend and the membership will appoint an auditor/auditing committee for the coming year. The Treasurer's Report will be presented at each meeting of the Board and accepted as information. Section 6 - Spending Approval All spending on behalf of The Club must have prior Board approval. Section 7 - Club Dissolution Should The Club remain inactive for a period of two (2) years, or should its members decide to dissolve, all assets will be converted to cash and transferred by way of cheque to The Pet Trust Fund at the Ontario Veterinary College. ARTICLE 5 - PROCEDURE Section 1 - Robert's Rules of Order Robert's Rules of Order shall prevail on all procedural matters not covered by these By-laws during meetings of either The Club or The Board. Section 2 - Voting Rights Each member is allowed one vote at any meeting or election provided that: a) he/she is a member in good standing b) proxy voting will be allowed at Board meetings only. Section 3 - Order of Business Each meeting will be conducted as follows: 1) Calling of the roll 2) Acceptance of the last minutes. 3) Financial Report 4) Report of Committee Heads 5) Old Business 6) New Business 7) Elections (if necessary) 8) Scheduling of next meeting 9) Adjournment ARTICLE 6 - ELECTIONS Section 1 - Eligibility Any regular member in good standing may be eligible for nomination for any office, subject to the provisions contained in these By-laws. Any candidate for re-election, whether to the same or any other position on the Board, during the previous calendar year must have attended at least half of the meetings of the Board. Section 2 - Nominations 2 members will be appointed to serve as the Nominating Committee. Section 3 - Elections Elections will take place every five (5) years. Ballots will be mailed to all members in good standing at June 30 of the current club year. The ballots will list all officers and candidates for office as provided by the nominating committee. The ballots will include a stamped envelope to be mailed to a third party vote recorder as identified by the Board. Section 4 - Acclamation If only one person accepts nomination for a position, he/she shall be elected by acclamation. If no one is nominated or runs for a position, the position shall be filled at a later date at the Board's discretion. ARTICLE 7 - DISCIPLINE 1. The Board shall have the power to suspend, expel or reprimand any member if, in their opinion, he/she has violated:: a) the constitution of The club b) the by-laws of The Canadian Kennel Club 2. The Board shall have the power to suspend or terminate the membership of a member who, in their opinion, has committed an act which is considered prejudicial to the objects of The Club, the C.K.C. or the interests of its members or their dogs. 3. A person, so suspended or expelled, shall have the right to appeal the decision of the Board to the General Membership at the next General Meeting. 4. Such suspended member may apply for reinstatement upon a successful appeal. 5. "Expulsion" when imposed, shall terminate membership automatically for all time. "Suspension" when imposed, automatically deprives the member of the privileges of the club for the period ordered when the suspension is imposed. ARTICLE 8 - AMENDMENTS A proposed amendment to the Constitution or By-laws may be proposed at any time by any Club member. A seconder to the amendment will be required. The proposed amendment will be published in the minutes and voted on at the next Annual General Meeting. A two thirds majority of members present will be required to pass the amendment.
